Information about company formation based on state requirements


ALASKA
Name Must contain words Incorporated, Corporation, Company, Association, Inc., Corp., Limited or Ltd.
Information about Directors and Officers Company must have at least one Director. No age or residence requirement. One director can hold all officer positions if he owns all issued stock. It is not required to list Directors and Officers in the articles of incorporation.
Requirements for address Home or Office street can be considered as company address. P.O. Box is not admissible.
Registered Agent Registered Agent is required if you do not live or have an office in Alaska. Otherwise, you can be your Own Registered Agent.
Shares/Stock information Number of shares is at your discretion. Initial filing fees do not change with an increase in shares or par value.
Annual statement It is required to file a biennial report with the Secretary if State before February 1 of filing year and every two years therefore. The cost of the reports is $100 for domestic Corporations and $200 for foreign Corporations.
State fees $250 filing fee with Secretary of State.
Income tax rate 1% on net taxable income if it's less than $4.500. 9.4% plus $4,500 if it goes over $90,000.
Franchise tax No Franchise Tax.
S Corporations Status is recognized by the State. In addition, Alaska does not have a personal income tax; thus shareholders will not be taxed on corporate earnings. A separate State election from the federal election is not required.
License requirements Most businesses must obtain a license and pay fee if operating in the State. Check it with the State to make sure your business is complying with the license requirements for your particular profession. A Business license typically costs $50 and must be paid every two years.
Corporate records A list of shareholders, books and records of account and the minutes of shareholders and director meetings must be kept at registered office or principal place of business. Articles of Incorporation must include a statement of codes from the Alaska Standard Industrial Classification Code.
