Company must have at least one Director, who can hold all officers position. No requirements for age or residence. It is not required to list Directors and Officers in the Articles of Incorporation. |

| Franchise tax |
The Franchise Tax Return is due by the 15th day of the 3rd month following the accounting close of the Corporation. It is $2.50 per $1000 or fraction of the value of the capital used, invested in or employed in Mississippi. Minimum tax is $25 and is based on the Corporation's capital which includes issued and outstanding capital stock, paid-in capital, surplus, retained earnings, and all true reserves as well as amounts designated for payment of dividends unless irrevocably placed to the credit of stockholders, excluded are debts, bonds, mortgages, and reserves for bad debts, depreciation or valuation. |
| S Corporations |
Status is not recognized by the State. A separate State election from federal election is required. |
| License requirements |
Mississippi requires that you obtain a license and pay a fee if you are operating certain types of businesses in the State. Please check with the State to make sure your business is complying with the license requirements for your particular profession. |
| Corporate records |
The Articles of Incorporation and Bylaws, the minutes of shareholder and director meetings, names and addresses of current directors and officers and the most recent annual report must be kept at the principal office of the Corporation. |
