Information about company formation based on state requirements


UTAH
Name Must contain words Incorporated, Corporation, Company, Inc., Corp., Co., Limited Liability Company, Limited Company, Limited, Ltd., LLC, L.L.C., LC or L.C.
Information about Directors and Officers Company must have at least three Directors. If the corporation has fewer than three shareholders, number of directors may be equal to or greater than number of shareholders. One person cannot hold offices of President and Secretary. 18 years of age or older and no residence requirements. It is not required to list Directors and Officers in the Articles of Incorporation.
Requirements for address Home address can be considered as company address. P.O. Box is not admissible.
Registered Agent Registered Agent is required if you do not live or have an office in Utah. Otherwise, you can be your Own Registered Agent.
Shares/Stock information No limit on number of shares to authorize. No extra filing fees based on number of shares or amount of pr value.
Annual statement To Division of Corporations and Commercial Code no later than the end of the second month following the month in which the report form is mailed by the Division. The annual report fee is $10.
State fees $50 filing fee.
Income tax rate 5% of net income. Minimum tax, $100.
Franchise tax No franchise tax.
S Corporations Status is recognized by the State. Separate State election from the federal election is not required.
License requirements Most businesses must obtain a license and pay a fee if operating in the State. Check with the State to make sure your business is complying with the license requirements for your particular profession.
Corporate records The Articles of Incorporation and Bylaws; the minutes of all shareholder meetings and records of actions taken without meeting for past three years; the names and addresses of current directors and officers; most recent annual report; financial statements prepared for periods ending during last three years must be kept at the principal corporate office.
