Company must have at least one Director. Required minimum of age is 18. No requirements for residence. President and Secretary cannot be the same person. It is not required to list Directors and Officers in the Articles of Incorporation. |

New domestic Corporations file their first report within 30 days after an organization meeting. Cost for domestic Corporations is $75 per annual report. Foreign Corporations must pay $300. |

Check with the State to make sure your business is complying with the license requirements for your particular profession. |

Certificate of Incorporation; Bylaws; certain resolutions adopted by board of directors; minutes of all shareholders' meetings; records of all actions taken by shareholders without a meeting for the past three years; a list of names and addresses of current directors and officers; and the most recent annual report must be kept at the Corporation's principal office. |
