Company must have at least one Director. No requirements for residence or age. Director can hold all officers positions. It is not required to list Directors and Officers in the Articles of Incorporation. |

You may authorize up to 1,500 shares to at no par value to incur the minimum-filing fee of $50. More shares will increase fees. |
| Annual statement |
Annual Statement must be filed with Secretary of State. Payment must be made by March 1st. Cost is $50 and consists of $30 franchise tax and $20 annual statement fee. The franchise tax is based on the number of shares and the par value, and if the number of shares is above 3000 the annual fee may decrease. |

| Income tax rate |
Corporations not located in Delaware do not pay income tax. The Corporations located in Delaware have to pay 8.7% income tax rate. |
| Franchise tax |
If corporation is located in Delaware it has to pay income taxes follows: up to 3,000 Shares is $30; from 3.001 to 5,000 is $50; from 5,001 to 10,000 is $90; more than 10,000 is $90 + $ 50 for every 10,000 shares or part thereof over 10,000. If your shares is above 3,000 income tax rate can be lower. |
